CONSTITUTIONAL ACT - S T A T U T E
OF FOUNDATION "REHABILITATION FOR THE BLIND"
 
I. COMMON STATES
Article.1.
1).     This Statute regularizes the structure of the Foundation, constituted as a juridical person with granting acts made in 1993 in accordance with the requirements of the Law for Juridical Persons with Uneconomic Aim.
2).     The Foundation is a non-political organization with a non-political and irreligious character, constituted to perform beneficial for society activity in social use.
3).     The Foundation cannot turn into a juridical person with an uneconomic aim to perform activity in private use.
4).     The inner structural relations and activities of the Foundation are regularized with regulations, adopted by the Board of Managers of the Foundation in accordance with this Statute.
 
II. NAME, MAIN OFFICE AND ADDRESS
Article.2.
1).     The Foundation is named "REHABILITATION FOR THE BLIND", which is written both in Cyrillic and Latin.
2).     The main office of the Foundation is in the city of Plovdiv.
3).     The address of administration of the Foundation is: city of Plovdiv, 24 "Landos" Str., block- hostel.
Article 3.
Time limit THE FOUNDATION IS CONSTITUTED FOR AN UNLIMITED PERIOD OF TIME
 
III. AIM AND ACTIVITIES
Article.4.
The aim of the Foundation is to help the rehabilitation of blind and visually impaired people in Bulgaria. 
Article.5. 
In order to achieve its goal the Foundation performs the following activities:
1).     Financial support of newly-constituted Centers for general and professional rehabilitation and other structural links for rehabilitation of blind and visually impaired.
2).     Helping the equipment of blind and visually impaired in our country with special technical devices for the everyday activities, education and professional activity.
3).     Stimulates the development of special rehabilitation programs, literature, reference books and scientifically applicable researches.
4).     Helps the rehabilitation of severely visually impaired people of all age through different forms of and training of their relatives for full and active participation in the rehabilitation process.
5).     Takes care for the rehabilitation of blind and visually impaired with many injuries.
6).     Performs additional economic activity, whose income is used for achieving the aims specified in this Statute.
7).     Organizes and finances other activities, connected with the aims of the Foundation.
 
IV. PROPERTY
Article.6.
1).     The Foundation performs its activity using Constitutors' funds, grants and donations by local and foreign physical and juridical persons.
2).     The financial funds of the Foundation are deposited in the bank, obligations, immovable property and in any other proper and profitable way.
3).     For achieving its aims and increasing the property the Foundation is allowed to conclude all kinds of transactions permitted by the Law.
4).     Grants and donations, done under certain conditions are used by the Foundation according to the will of the grantors.
5).     The Foundation may refuse to accept grants or wills made under such conditions that are unacceptable for the Foundation or conditions that are in contradiction with its aims and the decrees of its constitutional act.
6).     The property of the Foundation is managed in accordance with the regulations of this Statute and the law system of the Republic of Bulgaria.
7).     The bodies of the Foundation are the ones who make arrangements with the property of the Foundation.
Article.7.
MANAGEMENT AND ARRANGEMENTS OF THE PROPERTY
1).     The property of the Foundation is managed in accordance with the law system of the Republic of Bulgaria, the decrees of this Statute and the inner normative documents adopted by the Board of Managers of the Foundation. With a decision of the Board of Managers the temporary free funds are used for other activities also, that contribute to the preserving and increasing of the property of the Foundation and to the ensuring of its self-financing while performing its activity. The Foundation is authorized to perform an economic activity as well as to participate in trade associations and to make investments provided that the investments and the deposits are reliable and that they guarantee enough income for the preservation and the increasing of the property having in mind what the goals of the Foundation are. The Foundation cannot participate in partnerships and limited joint-stock companies in the role of illimitably- reliable co- operator. If the annual income of the Foundation is more than its expenditure this sum will be used for making the field of activity of the Foundation wider so that the goals pointed in the Statute should be achieved. The sum cannot be distributed in favor of the members of the Board of Constitutors, employees or other forms for favoring private and closely- related persons. Acts for making arrangements with movable and immovable property, which stands in possession of the Foundation are performed only with the decision of the Board of Constitutors.
2).     The Foundation performs additional economic activity whose funds are used for achieving the aims specified in this Statute;
3)     The Foundation performs also all activities permitted by the law that are in social use.
Article.8. 
Expending the funds. The funds raised by the Foundation can be used and spent only for achieving the goals, pointed in Article. 4 of this Statute, the will of the grantors and the law system of the Republic of Bulgaria.
 
V. BODIES OF MANAGEMENT
Article.9.
Bodies of management of the Foundation are: The Board of Managers, President and Executive director. 
Article.10.
1).     The supreme body of the Foundation is the BOARD OF MANAGERS.
2).     Administrative bodies of the Foundation are: the President and the Executive director.
3).     With a decision of the Board of Managers extra bodies may be formed- councils, commissions and others. 
Article.11.
The Board of Managers is appointed for the period of three years.
Article.12.
The Board of Managers:
    1. Adopts inner acts.
    2. Makes decisions for opening and closing branches.
    3. Makes decisions for participating in other organizations.
    4. Makes decisions for the discontinuance of the Foundation.
    5. Adopts the general tendencies and program of the activity of the Foundation.
    6. Adopts the budget of the Foundation.
    7. Receives the report for the activity of the President.
    8. Cancels decisions made by other members of the Foundation which are not in accordance with the law, the     Statute or other inner acts, regulating the activity of the Foundation.
    9. Specifies the amount of the representative power of its particular members.
    10. Specifies the address of the Foundation.
    11.Adopts inner regulations and procedures about the structure, financial activity and the functions of the inner structural links.
    12. Forms extra bodies and specifies their competency, strength, number of members and function regulations.
    13. Adopts schedule of the duties.
    14. Permits deals about making arrangements with the immovable property, participation in trade associations and other forms of investment.
    15. Controls the activity of the bodies and employers of the Foundation.
    16. Observes about the target expenditure of funds and the maintenance of the activity of the Foundation in optimal parameters, receives account reports and sets inspections.
    17. Receives an annual report of the Executive director and current information about questions that have been raised.
    18. Makes decisions about the questions that are not listed among the rights of another body according to the law or the Statute.
    19. When necessary appoints an inspector for controlling and certifying the annual account report of the Foundation.
    20. Makes also other decisions pointed in the Statute.
Article.13.
The Board of Managers is being summoned not less than once per three months.
Article.14.
1).     The sessions of the Board of Managers are being summoned and chaired by the President. The President is obliged to summon a session of the Board of Managers whenever there is a written request by one third of its members. If the President does not summon a session of the Board of Managers in a week's period of time then it may be summoned by any of the concerned members of the Board of Managers. If the President is absent the session is being chaired by a member of the Board of Managers chosen by the Board itself.
2).     The Board of Managers has the right to make resolutions if more than half of its members are present on the session.
3).     There is also a person present on the session with whom a bipartite telephone or another kind of connection is achieved that guarantees his/her identity and makes possible his/her participation in the discussion and decisions. The vote for this member is being certified in the protocol by the one who is chairing the session.
4).     The resolutions are made when there is a regular majority of the present members, and the resolutions according to Article 12, p.3, 5 and 15 when there is a majority of two thirds of the present members.
5).     The Board of Managers has the right to make a resolution even if a session has not been held provided that the protocol about the decision that has been taken is signed by all members of the Board of Managers without any riders or objections.
Article.15.
The President of the Foundation.
1).     The President of the Foundation has the statute of an independent administrative body, who manages and performs the whole operative activity of the Foundation and is being appointed for the period of three years by the constitutors.
2).     The President of the Foundation represents the Foundation in its relations with other persons as well as in front of all juridical, state bodies, administrative and social bodies and organizations, juridical and physical persons in the country and abroad.
3).     Defines the order and organizes the performance of the activity of the Foundation, as well as the activity beneficial for society and bears responsibility about that
4).     Defines the remuneration of the Executive director
5).     The President chooses and appoints the employees of the Foundation according to the inner order rules and the regulations for performing the activity of the Foundation in accordance with its aims
6).     Summons and defines the agenda proposed by the Executive director and chairs the sessions of the Board of Managers.
7).     Controls the implementation of resolutions of the Board of Managers and extra bodies.
8).     Signs contracts with the Executive director.
9).     Sets inspections when written signals for infringement and abuse are received.
10).     Functions as a liquidator in case of discontinuance and liquidation.
Article.16.
The Executive director
1).     The Executive director is being appointed dismissed by the constitutors of the Foundation.
2).     The Executive director is obliged strictly to observe the Statute of the Foundation and has the following rights:
    1. Regulates operatively the current activity of the Foundation;
    2. Provides for the implementation of the resolutions of the Board of Managers and extra bodies;
    3. Makes arrangements with the budget of the Foundation observing the procedures of this Statute and adopted inner regulations, the program decisions made by the Board of Managers and extra bodies as well as the obligations assumed before the grantors
    4. Makes proposals before the Board of Managers about the development of the Foundation
    5. Guarantees conformity with the law, procedural and documentary validity, effectiveness and advisability, when necessary it may refuse the implementation of resolutions until some lawful and procedural difficulties for their implementation are eliminated;
    6. Makes decisions about acquiring and making arrangements with transient assets of the Foundation that have a non-investment character.
    7. Organizes and bears responsibility about the account report and inner financial control in accordance with the principles pointed in this Statute.
    8. Prepares information, document projects and resolutions of the Board of Managers as well as in accordance with the legislation adopted in the country and the good practices.
 
VI. REPRESENTATION
Article.17.
The Foundation is represented before other persons together with the President of the Board of Managers and the Executive director or individually in accordance with the realization of its competency according to this Statute and the decisions of the Board of Managers.
 
VII. Discontinuance and reformation
Article.18.
The discontinuance and reformation of the Foundation is done in accordance with the decrees of Article 12 and those pointed in the Law for juridical persons with an Uneconomic Aim.
Article.19.
1).     If the Foundation is discontinued because of liquidation the property left after satisfying the creditors, is being given with the decision of the Board of Managers to a juridical person with an uneconomic aim for performing socially beneficial activity which is most closely related to the aims of the Foundation
2).     In case that the property is not given in accordance to Article 1 it is being given to the community where the main office of the Foundation is which is obliged to give the property to e juridical person with an uneconomic aim for performing socially beneficial activity which is most closely related to the aims of the Foundation.
 
VIII. Transient decrees.
§ 1. To the questions which are not settled down in this Statute and the inner regulations are applied the regulations of the Law about Juridical Persons with Uneconomic Aim and the other civil legislation.
§ 2.This Statute is adopted by the constitutors and grantors of the Foundation, held on 09.11.2002 and cancels the Constitutional act- a Statute adopted while constituting the Foundation.
